These terms and conditions apply to all proposals submitted to Nesta (“Nesta”, “we”, “us” or “our”) for “The Tipping Point Prize” (the “Prize”). Please read these terms and conditions and our privacy policy before submitting a pitch to the Prize.

By submitting a pitch, you agree to comply with these terms and conditions and confirm you have read and understood our privacy policy.

1. Background to Nesta and the Tipping Point Prize

Nesta is the UK’s innovation foundation. We help people and organisations bring great ideas to life. We do this by providing investments and grants and mobilising research, networks and skills. We are an independent charity (registered with charity number 1144091) and our work is enabled by an endowment from the National Lottery.

This Tipping Point Prize is being run by Nesta’s Explorations Team. Through an Open Call it seeks ideas about the technology and science breakthroughs which could shape the next decade. To apply, applicants need to draft a short written pitch articulating how their chosen development can be harnessed effectively for the public good.

Application Process:

Applications must be submitted by no later than 11.59pm on 15 March 2019. (the “Submission Date”)

A Nesta panel will select up to 10 Finalists by 22 March 2019 from eligible applications received by the Submission Date, who will be invited to turn their initial application pitches into concise articles to be submitted as Final Submission for the Prize by no later than 19 April 2019.

Nesta will provide feedback upon the Final Submission which Finalists must respond to by 3 May 2019.

Nesta’s Panel shall choose one Winner from the Final Submissions as the Winner of the Prize.

2. Who can apply?

Applications are open to all individuals over the age of eighteen (18) years old. Employees of Nesta, or any organisation that may work with Nesta in relation to the Prize, are not eligible to enter.

3. What happens after you apply?

3.1 We will assess all eligible applications received by the Submission Date and Finalists will be selected from those Applicants whose pitches in our view best comply with the criteria set out in the Open Call.

3.2 Our decision about eligibility, about selection of Finalists for the Prize, and about the awarding of the Prizes (if any), shall be final. We will not provide detailed individual feedback or enter into correspondence with individual applicants.

3.3 All Finalists selected shall be issued with guidelines by Nesta detailing the manner in which the application should be developed into a Final Submission. Nesta may also provide additional feedback following Final Submission which the Finalists must respond to. The award of any Prize shall be subject to Nesta being satisfied that the Final Submission complies in Nesta’s absolute discretion with any guidelines provided to Finalists by Nesta, and has, where necessary, satisfactorily incorporated any feedback provided to Finalists by Nesta following Final Submission.

3.4 The Finalist deemed by Nesta, according to the criteria set out in the Open Call, to have produced the best Final Submission will be declared the Winner of the Prize and will receive a Prize of £5,000.00. The remaining Finalists will receive a Prize each of £2000.00.

3.5 We reserve the right not to award any Prizes to any Finalists as detailed in 3.4 if any of the Final Submissions do not, in Nesta’s absolute discretion satisfy the requirements of the guidelines or any feedback issued to the Finalist.. Any Prize awarded by Nesta will be subject to satisfaction of all relevant legal and regulatory requirements and signature of appropriate legal documentation.

3.6 You must bear any costs relating to the submission of your application for the Prize, your Final Submission and participation in the Prize. You must take independent legal advice if you are concerned about these terms and conditions or your participation in the Prize.

3.7 We reserve the right to refuse to accept any application or Final Submission; to suspend or withdraw the Prize at any time; to vary the form and substance of the Prize or extend the deadlines; to reduce or increase the number of applicants selected as Finalists and/or to reject any application or Final Submission or withdraw any applicants continued participation in the Prize if you are in breach of these terms and conditions, fail to participate fully in the Prize or in the event of an actual or potential conflict of interest. If any selected applicant or Finalist subsequently withdraws or is withdrawn from the Prize, we may select a replacement applicant or Finalist, but will not be obliged to do so.

3.8 We reserve the right to vary the Prize or these terms and conditions at any time and at our sole discretion. Variations will take effect from the date they are posted on our website so you must check this page regularly to see the current version. If you provide us with a contact email address, we will aim to notify you of any changes.

3.9 If you are unable to complete the proposal or Prize entry process due to a disability, please let us know so that we can consider whether reasonable adjustments can be made.

4. Your promises to us

By submitting an application for the Prize, you confirm on behalf of yourself (and your partners, if applicable) that:

4.1 All information and materials provided to Nesta by you are true, accurate and complete and you will notify us immediately of any changes to information or materials provided. You are the author of your application and any Final Submission submitted and have not copied or plagiarised the work of another third party.

4.2 You have provided us with all information which might reasonably be thought to be relevant or necessary for us to consider your application and Final Submission.

4.3 You shall produce your Final Submission in accordance with any guidelines issued to you by Nesta and shall incorporate any feedback provided by Nesta to you following Final Submission.

4.4 You have, or will obtain as required, all authorisations, registrations, licences, consents and permissions necessary to submit your application and Final Submission.

4.5 In participating in the Prize, you will act lawfully, ethically and in good faith and will comply fully with equality and anti-bribery legislation and with any other applicable laws, regulations, guidelines and codes of practice, and will comply with our reasonable requirements, including in relation to health and safety and security, in the event that you may agree to attend Nesta premises as part of the Prize.

4.6 You shall treat the contents of any Nesta documentation and information shared with you as confidential, and shall not disclose such information other than as may be necessary for the preparation and submission of a compliant application or Final Submission and shall at Nesta’s request destroy or return any documents or information to Nesta.

4.7 Neither you nor any of your partners has any actual or potential conflict of interest with Nesta (including with our trustees, officers or employees) in making your proposal or complying with these terms and conditions and you will immediately inform us if you become aware of any such conflict of interest.

5. Information and Publicity

5.1 You will retain your intellectual property rights in your application and Final Submission for the Prize.

5.2 Nesta will use information which you provide as part of your application to process your application, inform you of any progress of your application and to administer the Prize. For more information about how Nesta may use your information please see our privacy policy.

5.3 We may carry out publicity and promotion for the Prize and publish our research and evaluation in relation to the Prize. We may wish to publish the name of Finalists on our Website and you may be asked to participate in other publicity.

5.4 All Finalists grant Nesta a non exclusive royalty free licence to use their applications and Final Submissions, and any extract therefrom, for its own charitable, marketing and publicity purposes; including publishing the same in any Nesta publications, online and in any media promotion as part of a Nesta collection.

5.5 Nesta shall acknowledge you as the author in any publication or report which includes, a reproduction of your Final Submission in full. In all other circumstances Nesta will acknowledge you as the author whenever it is reasonably possible.

5.6 Nesta reserves the right not to publish any of the Final Submissions of the Winner or Finalists, and makes no guarantee that work or extracts therefrom will be published.

5.7 You agree that your Final Submission will be published under a Creative Commons Attribution Noncommercial ShareAlike licence (CC-BY-NC-SA), full details here.

6. General provisions

6.1 If you are a Winner or Finalist in the Prize, you will be required to enter into a contract on Nesta’s standard terms and conditions (copy available on request), which shall include the agreement to publish the Final Submission under the Creative Commons licence referred to in paragraph 5.3 above.

6.2 Any failure by Nesta fails to enforce these terms and conditions shall not be construed nor shall it be deemed to be a waiver of its right to do so in the future.

6.3 We will not be liable to you, your partners or anyone else in respect of any direct or indirect loss, economic loss or loss of opportunity arising in connection with your application to, and your participation in, the Prize and/or any reliance by you on any statement made or advice given by us, our partners or contractors. We do not make any warranty about the accuracy or completeness of the information provided by Nesta in connection with the Prize. Any dispute between you and/or your partners and/or any other applicant must be resolved between you and independently of Nesta.

6.4 These terms and conditions shall be governed by and interpreted in accordance with the laws of England and Wales and shall be subject to the non- exclusive jurisdiction of the English courts.
