1. The Event

1.1 The Booking Form for the event and these Terms together form the contract between the person or organisation named on the Booking Form (“you”) and Nesta (“us”) for your attendance at the named event and apply to the exclusion of any terms which you may seek to impose. Our acceptance of your order made via the Booking Form will take place when we email you to accept it, at which point a contract will come into existence between you and us.

1.2. The event is organised and managed by Nesta, a company limited by guarantee registered in England and Wales with company number 7706036 and a charity with registered number 1144091, whose registered office is 58 Victoria Embankment, London EC4Y 0DS.

1.3. You can contact us by telephoning our customer service team at 02074382500 or by writing to us at [email protected]. If we have to contact you we will do so by telephone or by writing to you at the email address or postal address you provided to us on your Booking Form. When we use the words "writing" or "written" in these terms, this includes emails.

1.4. All applications to register for the event are subject to availability. We reserve the absolute right to refuse any application for a place at the event. Your registration is not complete until we have confirmed your place by email.

1.5. The event will be delivered on the date and at the times and location given on the event webpage. Food and beverages will be supplied only as specified.

2. Your responsibilities

2.1. You must tell us immediately about any changes to the information which you provide on the Booking Form. If you make a significant change, we may cancel your place on the event pursuant to clause 5.2 below.

2.2. Please let us know about any specific dietary or accessibility requirements at time of booking and no later than two working weeks from the event date and we will try to accommodate these.

2.3. You must not make any recording of the event without our prior written consent. You hereby consent to our taking photographs and making recordings of the event and to the use and dissemination of the photos and recordings in any medium for any purpose. If you don’t wish to be photographed or recorded, please notify our staff at the event.

2.4. Please behave appropriately at the event and follow the instructions of our staff and trainers. We reserve the right to exclude anyone who behaves rudely, dangerously or inappropriately, and refuse entry into future events at Nesta’s absolute discretion.

3. Programme Materials

3.1. All intellectual property rights in event materials, including resources, slides and our models, methods and approaches (“the Materials”), our name and logo, and any photos or recordings of the event belong to Nesta. You have no right to use, copy, distribute or exploit the Materials without our prior written consent except as specified in clause 3.2 below. In particular, you may not use Materials in a way that may infringe third party rights or bring Nesta or any third party organization into disrepute

3.2. In certain circumstances, we may make Materials available on the basis of a creative commons licence. This will only apply to such Material as we indicate in writing is to be included in any such licensing regime. Where we have so confirmed, you may use, copy and develop the Materials for your own personal and non-commercial purposes provided you comply with the terms of the Attribution-NonCommercial-ShareAlike Creative Commons licence available to view at http://creativecommons.org/licenses/.

4. Changes to the event and Cancellation

4.1. Nesta reserves the following right to make changes or to cancel the event at any time:

4.1.1. While speakers and topics were confirmed at the time of publishing, circumstances beyond the control of Nesta may necessitate substitutions, alterations or cancellations of the speaker and/or topics. Any substitutions or alterations will be updated on our web page as soon as possible;

4.1.2. It may be necessary for reasons beyond our control to make changes to the advertised timing and or location of the event or to cancel the event.

4.4. We shall not be liable to you for travel, accommodation or other costs and expenses incurred (including wasted costs and expenses) if we are required to cancel or relocate the event for reasons beyond our reasonable control (such as war, industrial action, transport delays, adverse weather, illness, injury or death of the relevant trainer) that renders performance of the event impracticable, illegal or impossible.

5 Use of Information

Your personal details and feedback will be used to administer and evaluate the event and may be shared with our partners, trainers and others helping us to deliver and evaluate the event, under the terms of our privacy policy.

6 Exclusion of Liability

6.1. Subject to Clause 6.3, we will not be liable for any loss, damage, liability, costs, claims or expenses incurred by you in connection with the event, including without limitation:

6.1.1 if you cannot attend or incur additional costs in attending due to weather, transport, industrial action or other reasons outside our control;

6.1.2 through your reliance on statements made or advice given at the event or any error or omission in the Materials or content delivered by the trainers; or

6.1.3 for any loss of or damage to your property or personal belongings at the event.

6.2 All express and implied warranties and conditions, including implied warranties of satisfactory quality and fitness for a particular purpose, are hereby excluded. Neither party shall be liable to the other for (i) any economic loss; or (ii) loss of profit’ or (iii) indirect or consequential loss.

6.3 Subject to Clause 6.5 and without prejudice to Clause 6.1 and 6.2, our total liability to you shall be limited to £100.

6.4 You agree to indemnify us and our staff against all loss, costs, claims or expenses of any kind arising from any act or omission by you (including your delegates) during or otherwise in relation to the event.

6.5 Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence or for our fraud or fraudulent misrepresentation.

7 Miscellaneous

7.1 The Booking Form and these Terms represent the entire agreement between you and us in relation to the event and supersede all previous agreements between us relating to the event. You acknowledge that you have not relied on any representation or warranty other than as expressly set out in the Booking Form and these Terms.

7.2 This letter is governed by, and is to be construed in accordance with, English law and the parties hereto hereby submit to the exclusive jurisdiction of the English Courts.
